Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the “Agreement”) is entered into by and between Northwind Ltd. and Acme Holdings PLC (each a “Party”).

1. Confidential Information

Each Party may disclose to the other certain non-public business, technical, and legal information ("Confidential Information") in connection with evaluation of a potential commercial partnership.

2. Obligations

The Receiving Party shall (i) hold Confidential Information in strict confidence, (ii) use it solely for the Purpose, and (iii) protect it with no less than reasonable care.

3. Term

This Agreement is effective for three (3) years from the Effective Date.

4. Governing Law

This Agreement shall be governed by the laws of England & Wales.
